1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Cluster AI, Inc. ("Titan Security," "we," "us," or "our") governing your access to and use of our security testing platform, AI-powered security agents, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Services
Titan Security provides an AI-powered security testing platform that automates security testing for codebases and infrastructure. Our Services include:
- Automated vulnerability scanning and detection
- AI-driven security analysis of source code
- Infrastructure security assessments
- Security reports and remediation recommendations
- Continuous security monitoring
- Integration with development workflows and CI/CD pipelines
3. Account Registration
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
4. Acceptable Use
You agree to use the Services only for lawful purposes. You shall not:
- Use the Services to scan, test, or analyze systems you do not own or have explicit authorization to test.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Use the Services to develop or enhance malware, exploits, or attack tools.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Resell, sublicense, or redistribute the Services without authorization.
- Use the Services in violation of any applicable laws or regulations.
- Submit malicious code intended to harm our systems or infrastructure.
- Circumvent any access controls or usage limitations.
5. Your Data and Content
5.1 Ownership
You retain all ownership rights in the code, data, and content you submit to our Services ("Your Content"). Titan Security does not claim ownership of Your Content.
5.2 License Grant
By submitting Your Content to our Services, you grant Titan Security a limited, non-exclusive, worldwide license to process, analyze, and store Your Content solely for the purpose of providing the Services to you. This license terminates when you delete Your Content or close your account.
5.3 Responsibility
You are solely responsible for Your Content and ensuring you have the right to submit it to our Services. You represent and warrant that Your Content does not infringe any third-party rights and that you have obtained all necessary permissions and authorizations.
6. Intellectual Property
The Services, including all software, algorithms, AI models, documentation, trademarks, and other intellectual property, are owned by Titan Security and protected by intellectual property laws. Except for the limited license to use the Services granted herein, we do not grant you any rights to our intellectual property.
"Titan Security," the Titan Security logo, and other Titan Security marks are trademarks of Cluster AI, Inc. You may not use our trademarks without our prior written consent.
7. Payment and Billing
Certain features of our Services require payment. By subscribing to a paid plan:
- You agree to pay all fees associated with your selected plan.
- Fees are billed in advance on a monthly or annual basis.
- All fees are non-refundable except as required by law or as specified in these Terms.
- We may change pricing with 30 days' notice; continued use constitutes acceptance.
- You are responsible for all taxes associated with your use of the Services.
Failure to pay may result in suspension or termination of your access to the Services.
8. Security Testing Authorization
By using our Services to test any system or code:
- You represent and warrant that you own or have explicit written authorization to test such systems.
- You acknowledge that security testing may affect system performance or availability.
- You agree to comply with all applicable laws regarding security testing and vulnerability disclosure.
- You accept full responsibility for any consequences of security testing performed using our Services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TITAN SECURITY DISCLAIMS ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
- WARRANTIES THAT THE SERVICES WILL DETECT ALL VULNERABILITIES OR SECURITY ISSUES.
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF SECURITY FINDINGS.
Security testing cannot guarantee the detection of all vulnerabilities. You acknowledge that no security testing tool or service can provide complete protection against all security threats.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TITAN SECURITY SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.
- DAMAGES ARISING FROM SECURITY BREACHES OR UNDETECTED VULNERABILITIES.
- DAMAGES EXCEEDING THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability and even if Titan Security has been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Titan Security, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) unauthorized security testing performed using our Services.
12. Termination
You may terminate your account at any time by contacting us or using the account settings. We may terminate or suspend your access to the Services immediately, without prior notice, if:
- You breach any provision of these Terms.
- We are required to do so by law.
- We discontinue the Services.
- We reasonably believe your account poses a security risk.
Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Titan Security regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent; we may assign them freely.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
